- Pulse Biosciences plans to redeem its “150% Warrants” following a successful rights offering raising $60 million.
- Shareholders can exercise warrants at $11.00 per share until February 5, 2025, or face nominal redemption value.
- The company aims to enhance shareholder value while maintaining flexibility with its “200% Warrants” for future financing.
Pulse Biosciences Moves Forward with Warrant Redemption Plan
Pulse Biosciences, Inc. announces a significant step in its capital strategy with an irrevocable notice of redemption for its first tranche of common stock warrants, known as the “150% Warrants.” This development is part of the company's rights offering conducted on July 3, 2024, and is scheduled for redemption on or about December 27, 2024. The redemption process is contingent upon the company’s stock price maintaining a threshold of over $16.50 for twenty consecutive trading days, which Pulse has successfully met, achieving an average volume-weighted average price (VWAP) of $18.85 during the necessary period leading up to December 23, 2024.
The warrants allow shareholders to exercise their rights at an exercise price of $11.00 per share until February 5, 2025, at 6:30 p.m. Eastern Time. Importantly, any warrants not exercised by this deadline will be redeemed for a nominal value of $0.01 each. With the rights offering raising $60 million in gross proceeds, Pulse Biosciences stands to gain an additional potential $66 million if all warrants are exercised prior to the redemption date. This financial maneuver not only strengthens the company's capital base but also indicates a strategic alignment with its operational goals and market performance.
While the company clarifies that it will not offer recommendations regarding the exercise of the warrants, the successful execution of this redemption plan reflects Pulse Biosciences’ commitment to enhancing shareholder value and optimizing its financial structure. The second tranche of warrants, known as the “200% Warrants,” remains unaffected by this current redemption, allowing the company to maintain flexibility in its future financing strategies. A copy of the relevant prospectus detailing the rights offering and warrant exercise will be made available on the company's website for interested parties.
In the broader context of the industry, Pulse Biosciences continues to innovate in the biomedical field, focusing on advanced therapeutic solutions. The successful execution of its rights offering and warrant redemption demonstrates not only its financial viability but also its potential to attract further investment and drive growth in a competitive market. As the company moves forward, it emphasizes transparency and shareholder engagement, crucial components for maintaining investor confidence and fostering long-term success.
