This product, specifically developed for treating cutaneous T-cell lymphoma (CTCL), represents a pivotal advancement in oncology therapeutics. The company enters into a definitive agreement with a healthcare-focused investor to sell 1,284,404 shares of common stock at a price of $1.09 per share through a registered direct offering. In conjunction with this, the investor will receive unregistered warrants allowing for the purchase of an equivalent number of shares, contingent upon stockholder approval.
In addition to the registered direct offering, Citius Oncology secures a private placement for 15,229,358 shares and corresponding warrants at the same price of $1.09 per share. H.C. Wainwright & Co. is acting as the exclusive placement agent for these financial transactions, which together are projected to generate approximately $18 million in gross proceeds before fees and expenses.
